BUZZAH! Terms and Conditions

Welcome to BUZZAH! ("BUZZAH!," "we," "our," or "us"). BUZZAH! is operated by MSCVentures Digital Marketing Services ("the Company"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BUZZAH! governing your access to and use of BUZZAH!'s websites, mobile applications, games, software, digital platforms, content, and all related products, features, and services (collectively, the "Services").

By accessing, browsing, registering for, downloading, installing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Children's Privacy & Age Policy, Community Guidelines, and any additional policies incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue your access to and use of the Services.

The Services are intended only for individuals who are at least thirteen (13) years of age.

By using the Services, you represent and warrant that:

1. you are at least thirteen (13) years old;
2. you possess the legal capacity to enter into a binding agreement; and
3. where you have not yet reached the age of majority under the laws of your jurisdiction, you have obtained the knowledge, permission, and supervision of your parent or legal guardian.

Children under thirteen (13) years of age are not permitted to create accounts or submit personal information through the Services.

To access certain features, users may be required to create an account.

You agree to:

1. Provide complete, accurate, and current registration information;
2. Maintain and promptly update your account information;
3. Maintain the confidentiality of your login credentials;
4. Immediately notify BUZZAH! of any unauthorized access or suspected compromise of your account; and
5. Accept responsibility for all activities conducted through your account unless otherwise required by applicable law.

BUZZAH! reserves the right to refuse registration, suspend, restrict, or terminate accounts where necessary to protect the integrity, security, or lawful operation of the Services.

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You shall not:

1. Violate any applicable law or regulation;
2. Impersonate another individual or entity;
3. Upload or transmit unlawful, defamatory, obscene, hateful, fraudulent, malicious, or infringing content;
4. Infringe intellectual property or privacy rights;
5. Interfere with the operation or security of the Services;
6. Gain unauthorized access to any system or account;
7. Reverse engineer, decompile, modify, or exploit the Services except where expressly permitted by law;
8. Use automated scripts, bots, cheats, exploits, or unauthorized software;
9. Introduce viruses, malware, ransomware, or malicious code; or
10. Engage in conduct that disrupts gameplay or harms other users.

Violation of this section may result in suspension or permanent termination of your account.

BUZZAH! may provide multiplayer gameplay, community interactions, chat functions, reactions, tournaments, leaderboards, and other social features.

Users are solely responsible for their own conduct and interactions with others.

Although BUZZAH! may implement moderation systems, reporting mechanisms, automated tools, and human review processes, BUZZAH! does not guarantee that all inappropriate conduct or content will be detected, prevented, or removed.

BUZZAH! reserves the right, but assumes no obligation, to investigate reports, moderate content, remove material, restrict communications, or suspend accounts where reasonably necessary to maintain a safe, fair, and respectful environment.

BUZZAH! may utilize artificial intelligence ("AI"), machine learning technologies, and automated systems to generate gameplay content, trivia questions, recommendations, moderation tools, customer support functions, fraud detection systems, personalization features, analytics, and other operational functions.

AI-generated content is provided for entertainment and informational purposes only. While BUZZAH! endeavors to improve the quality and reliability of AI-assisted outputs, such content may contain inaccuracies, incomplete information, unintended results, or technical errors.

BUZZAH! does not warrant that AI-generated content will always be accurate, complete, reliable, suitable, or uninterrupted.

All copyrights, trademarks, service marks, trade names, logos, software, source code, gameplay mechanics, graphics, audio, video, text, databases, designs, and other intellectual property comprising the Services are owned by or licensed to BUZZAH! and are protected by applicable intellectual property laws, including the Intellectual Property Code of the Philippines (Republic Act No. 8293) and applicable international treaties.

Except for the limited license expressly granted under these Terms, no ownership, title, or interest in or to the Services or any intellectual property rights therein is transferred to any User. All rights not expressly granted are reserved by BUZZAH! and its licensors.

You retain ownership of any intellectual property rights in the content you submit.

By submitting User Content, you grant BUZZAH! a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, adapt, publish, display, distribute, and otherwise use such content solely for operating, maintaining, improving, promoting, and providing the Services.

You represent that you possess all necessary rights to submit such content and that its publication does not violate any law or third-party rights.

BUZZAH! shall not be obligated to compensate Users for any use of User Content authorized under these Terms.

Certain Services may require payment.

All purchases remain subject to:

1. Applicable law;
2. The policies of Apple App Store, Google Play, Steam, or other distribution platforms;
3. The terms of payment processors; and
4. Applicable taxation requirements.

Except where otherwise required by law, payments are final and non-refundable.

The Services may integrate third-party products or services, including payment processors, analytics providers, advertising networks, authentication providers, cloud hosting providers, and social media platforms.

BUZZAH! neither owns nor controls such third-party services and is not responsible for their availability, security, functionality, or privacy practices.

To the fullest extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

BUZZAH! expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

1. Merchantability;
2. Fitness for a particular purpose;
3. Non-infringement;
4. Uninterrupted availability;
5. Compatibility;
6. Security; and
7. Error-free operation.

Nothing in these Terms shall exclude, restrict, or limit any warranty or remedy that cannot lawfully be excluded or limited under applicable law.

To the fullest extent permitted by applicable law, BUZZAH!, its affiliates, officers, directors, employees, contractors, licensors, and business partners shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, goodwill, revenue, business opportunities, data, or reputation arising from or related to the use of the Services.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law or for liability arising from fraud, willful misconduct, or gross negligence.

The foregoing limitations shall apply regardless of the legal theory upon which any claim is based, whether in contract, tort (including negligence), strict liability, statute, or otherwise, to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless BUZZAH!, its affiliates, officers, directors, employees, contractors, licensors, successors, and assigns from and against any claims, actions, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising out of or relating to:

1. Your use of the Services;
2. Your User Content;
3. Your violation of these Terms;
4. Your violation of applicable law; or
5. Your infringement of the rights of any third party.

BUZZAH! may suspend, restrict, or terminate access to the Services where reasonably necessary to protect the platform, its users, or its legitimate business interests, including where these Terms are violated or unlawful activities are suspected.

Termination shall not affect rights or obligations that accrued prior to termination.

These Terms and any dispute, controversy, claim, or cause of action arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law principles. Nothing in this provision shall deprive consumers of any mandatory rights or remedies afforded under applicable consumer protection or data protection laws.

The parties shall endeavor to resolve any dispute through good-faith negotiations. If no amicable settlement is reached, the dispute shall be submitted to the courts of competent jurisdiction in the Philippines, unless mandatory law provides otherwise.

Nothing herein shall prevent either party from seeking provisional, injunctive, or equitable relief before a court of competent jurisdiction where necessary to protect intellectual property rights, confidential information, or other rights pending final resolution of the dispute.

BUZZAH! reserves the right to amend these Terms from time to time to reflect changes in the Services, technology, business operations, or applicable law.

Where required by law, users will be provided reasonable notice of material amendments.

Continued use of the Services after the effective date of any amendments constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

BUZZAH! shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, fire, flood, earthquake, war, terrorism, civil disturbance, epidemic, pandemic, governmental action, labor disputes, cyberattacks, telecommunications failures, internet outages, power interruptions, or failures of third-party service providers.

The affected party shall use commercially reasonable efforts to resume performance as soon as reasonably practicable following the cessation of the force majeure event.

If any provision of these Terms is determined by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, Children's Privacy & Age Policy, Community Guidelines, and any other policies expressly incorporated by reference, constitute the entire agreement between BUZZAH! and the User concerning the Services and supersede all prior or contemporaneous agreements, representations, negotiations, communications, and understandings relating to the subject matter hereof.

The failure or delay of BUZZAH! to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

Users may not assign, delegate, or otherwise transfer any rights or obligations under these Terms without the prior written consent of BUZZAH!.

BUZZAH! may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, financing transaction, or by operation of law.

By clicking "I Agree," "Accept," or any similar electronic confirmation, registering an account, downloading, installing, accessing, or otherwise using the Services, you acknowledge that you have electronically accepted these Terms. Such electronic acceptance shall have the same legal force and effect as a handwritten signature to the fullest extent permitted by applicable law, including the Electronic Commerce Act of 2000 (Republic Act No. 8792).

In the event of a confirmed personal data breach that is likely to result in a risk to the rights and freedoms of affected individuals, BUZZAH! shall investigate the incident without undue delay and, where required by applicable law, notify the appropriate supervisory authority and affected data subjects within the time prescribed by applicable law. BUZZAH! shall likewise implement reasonable measures to contain the breach, mitigate its effects, and prevent similar incidents from recurring.

BUZZAH! does not knowingly permit children under thirteen (13) years of age to create accounts or provide personal information through the Services. If BUZZAH! becomes aware that personal information has been inadvertently collected from a child under thirteen (13), it shall promptly take reasonable steps to delete such information or otherwise comply with applicable law.

Parents and legal guardians are encouraged to supervise the online activities of minors and to instruct children never to provide personal information through the Services without appropriate parental involvement.
